MuirMcNeil offers two retail license options designed to cover almost all typographic requirements. Details of our standard ‘Print and Desktop License’ and ‘Web and Digital License’ are given below.

Font Software End User License Agreement

1.0 Introduction

“Font Software” refers to the encoded software which constitutes digital typefaces along with all other information and documentation provided with it. Font Software is licensed, not sold, and is protected by national and international copyright laws and intellectual property laws.

This End User License Agreement (“EULA”) is a legal agreement between you or, if you represent a legal entity, that legal entity (“you”) and MuirMcNeil Limited (“MuirMcNeil”) for its Font Software. This license agreement represents the entire agreement between you and MuirMcNeil in respect of the Font Software and it supersedes any prior agreement or understanding.

MuirMcNeil Font Software is licensed according to four independent categories of usage as detailed in this agreement (3.0 Font Trial License, 4.0 Print and Desktop License, 5.0 Web and Digital License, 6.0 Logo and Brand Identity License).

By downloading, installing and using the Font Software you confirm that you have read, understood and agreed to the terms and conditions specified in the individual license category or categories you have selected and purchased, and that these terms and conditions are binding.

2.0 General License Terms

2.1 Installation and Use

In consideration of the correct and complete fee paid by you to MuirMcNeil for this Font Software, MuirMcNeil grants you a global, non-exclusive, non-transferable license, without the right to grant sub-licenses and subject to these terms and conditions, to install and use this Font Software on a fixed number of computers at a single location.

2.2 Backup

You may make backup copies of the Font Software for archival purposes only, provided that you retain exclusive custody and control over such copies.

2.3 Prohibition of Modification

You must not modify, adapt, translate, reverse engineer, decompile, disassemble, alter, or attempt to discover the source code of the Font Software. If you wish to make modifications to the Font Software, you must obtain the prior written consent of MuirMcNeil. You must not remove or alter any copyright notices on any copies of the Font Software.

2.4 Prohibition of Transfer

You must not transfer, rent, lease, lend, sell or donate all or any part of the Font Software or its License to any other person, entity or organisation.

2.5 Ownership

MuirMcNeil retains full title and ownership of its Font Software including all subsequent copies, regardless of the media or formats on which they are recorded. You are not purchasing title to the Font Software, but are being granted a license to use it for the purposes specified here. This EULA does not grant you any intellectual property rights in the Font Software except as provided here. You agree that the Font Software is the sole and exclusive property of MuirMcNeil, including all related applicable rights to patents, copyrights and trademarks.

The typeface names given to MuirMcNeil’s Font Software are trademarks of MuirMcNeil, and may only be used in keeping with accepted trademark practice, including identification of the trademark owner’s name and only in conjunction with output produced using the Font Software. All rights not expressly granted are reserved by MuirMcNeil.

3.0 Font Trial License

By downloading and using MuirMcNeil Trial Font Software, you confirm your agreement to the following terms and conditions:

MuirMcNeil Trial Fonts may be used within your organisation only. You may use the Trial Fonts to create test visualisations for presentation within your company. You may use the Trial Fonts to demonstrate their potential uses in presentations to your clients. You may use the Trial Fonts for as long as is required to make a decision on whether you will purchase the full license.

You must not use the Trial Fonts for any published or commercial purposes. This includes, but is not limited to, any customer or public facing applications or presentations of the Trial Font(s) Fonts in the course of your business, any commissions or any sales which include the Trial Fonts.

You must not transfer, rent, lease, lend, sell or donate all or any part of the Trial Fonts to any other person, entity or organisation.

You must not modify, adapt, translate, reverse engineer, decompile, disassemble, alter or otherwise attempt to discover the source code of the Trial Fonts or the designs embodied therein.

By entering into this Agreement, You acknowledge that MuirMcNeil retains full ownership of the Trial Fonts, and all intellectual property rights, including copyright, relating to the Trial Fonts. This Agreement grants You a limited right to use the Trial Fonts as per the uses stated in section 3.0 of this document.

If you wish to use MuirMcNeil’s font software for any commercial or published purposes, You must to purchase an appropriate license for the full version of the fonts according to the usage options itemised in 4.0, 5.0 and 6.0 of this document.

4.0 Print and Desktop License

In consideration of the correct fee paid by you to MuirMcNeil for a Print and Desktop License, MuirMcNeil grants you a global non-exclusive, non-transferable license to use and store the Font Software on a maximum of five devices for a maximum of five users at one single company, business or organisation, at one single physical location. The Print and Desktop License permits you to design, produce and edit printable assets, and includes unlimited publication rights for printed media including but not limited to correspondence, books, press advertisements, periodicals, flyers and brochures.

You are also permitted to embed the Font Software in Adobe Acrobat PDF files provided that such documents are output in ‘read-only’ mode.

For the specific purpose of output production, you are permitted to transfer a copy of the Font Software used in your work to service providers such as commercial printers, artworkers or pre-press, on the condition that there will be no implementation of the Font Software by them (e.g. text editing, amendments, etc.). In the event of any use of the Font Software by such service providers, they are required to purchase their own license and you are obliged to inform them of this condition.

The Print and Desktop License does not permit usage in creating static or animated logos, word marks, trademarks, taglines or slogans for branding or advertising. A Logo and Brand Identity License (6.0) is required for such usage.

5.0 Web and Digital License

In consideration of the correct fee paid by you to MuirMcNeil for a Web and Digital License, MuirMcNeil grants you a global non-exclusive, non-transferable, license to install and use the Font Software on web servers owned by you, or on servers owned and controlled by third-party hosting services, or on ad server services carrying out work on your behalf, using the @font-face function. Usage is limited to a single domain. It is not limited by the number of monthly impressions or number of visitors.

The Web and Digital License also provides the right to use the Font Software in digital advertisements displayed on external domains regardless of the number of visitors or impressions, embedded in such a way that third parties cannot download or install the Font Software.

The Web and Digital License also provides the right to use the Font Software in a single Software Application, App or video game developed for any operating system or game console, embedded in such a way that end users cannot download or install the Font Software. The Font Software may not be redistributed with the programme’s source code nor installed in the operating system on which it runs.

The Web and Digital License also provides the right to use the Font Software in titles for film, video, motion graphics and animations for display on any screen-based environment, including, but not limited to, TV broadcasting, cinema, outdoor advertising, internet streaming and social media, regardless of the number of visualisations.

The Web and Digital License does not permit usage in creating static or animated logos, word marks, trademarks, taglines or slogans for branding or advertising. A Logo and Brand Identity License (6.0) is required for such usage.

6.0 Logo and Brand Identity License

Logo and Brand Identity License terms and conditions are specified according to individual project requirements by contractual agreement between you and MuirMcNeil (sales [at] muirmcneil [dot] com).

In consideration of the correct fee paid by you to MuirMcNeil for a Logo and Brand Identity License, MuirMcNeil grants you a bespoke license for the purpose of creating static or animated logos, word marks, trademarks, taglines or slogans, for the branding or advertising of a company, product, service, individual, organisation, association, club, event, corporation, etc.

7.0 Disclaimer and Limitation of Liability

MuirMcNeil expressly disclaims any warranty for the Font Software. It is provided without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, non-infringement or fitness for particular purposes.

MuirMcNeil does not warrant that this Font Software is free from bugs or that it will perform with future operating systems or that the use of this Font Software will be uninterrupted or error free. MuirMcNeil expressly disclaims any warranty or representation to authorised users or to any third party.

In no event will MuirMcNeil be liable for the content of the Font Software or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.

In no event will MuirMcNeil be liable for any damages rising directly out of use of or inability to use the Font Software including, without limitation, lost profits, business interruption or lost information. In no event will MuirMcNeil be liable for any indirect, special, incidental, consequential or other damages.

8.0 Termination

If you or your organisation breach any of the clauses of this Agreement, MuirMcNeil has the right to terminate the License. In this case you will destroy all copies of the Font Software and its documentation. Retaining the Font Software will constitute a violation of rights.

If the Font Software, as a result to the actions or omissions by you or your organisation, becomes available on computers, mobile devices, servers, web servers or websites of unauthorised third parties, the burden of proving the inadvertency of the actions which led to such consequences lies with you.
